Key Holder Agreement
Please read the below Key Holder Agreement and complete the necessary fields. Without the below information being completed, Elliotts are unable to accept any responsibility for the holding of any keys to you property. A copy of the below will be email to you once complete and stored on your client portal.
1. Purpose: The purpose of this Agreement is to grant Party B (Elliotts Cleaning & Property Services) the authority to hold and use the keys to the premises located at premises address entered above (the "Premises") owned/managed by Party A (above), under the terms and conditions specified herein.

2. Term: This Agreement shall commence on the date above and shall continue until terminated by either party in accordance with the termination provisions herein.

3. Key Holder Responsibilities: Party B agrees to the following responsibilities: a. Safeguard the keys and ensure they are not duplicated, lost, or misplaced. b. Use the keys solely for authorized purposes related to the operation, maintenance, or management of the Premises. c. Notify Party A immediately if the keys are lost, stolen, or otherwise compromised. d. Return the keys to Party A upon termination of this Agreement or upon request by Party A.

4. Access and Use:. Party B shall have access to the Premises during the agreed service duration. Party B shall not permit unauthorized persons to access the Premises using the keys. Party B shall ensure that the Premises are securely locked after use.
5. Liability: a. Party B shall be liable for any loss, damage, or theft occurring as a result of negligence or misuse of the keys by Party B. b. Party A shall not be liable for any personal injury or property damage incurred by Party B while accessing the Premises, except where such injury or damage is caused by Party A's gross negligence or willful misconduct.
6. Termination: a. Either party may terminate this Agreement with [number] days written notice to the other party. b. Party A may terminate this Agreement immediately if Party B breaches any terms of this Agreement. c. Upon termination, Party B shall return all keys to Party A within 7 days.
7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of the United Kingdom of England.
8. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
9. Amendments: No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
10. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
